Terms and Conditions

Ownership. Dispatch Mate (https://dispatchmate.app) is owned and operated by DispatchMate LLC.

These Terms and Conditions ("Terms") govern your access to and use ofDispatch Mate, delivered as a Software-as-a-Service (SaaS) subscription for trucking dispatch management — including carrier and load tracking, check-call workflows, commission invoicing, and related operational tools (the "Service"). By creating an account or subscribing, you agree to these Terms.

1. Eligibility and accounts

The Service is intended for commercial use by independent dispatchers, small agencies, and related logistics businesses. You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account.

2. SaaS delivery model

Dispatch Mate is provided exclusively as a cloud-based SaaS subscription. We host the application; you access it through a web browser or installed PWA. We do not sell downloadable software licenses. Features, uptime, and plan limits are described on our Pricing page and in your account. We do not act as a freight broker, carrier, or transportation intermediary.

3. Subscriptions and billing

Paid plans are billed on a recurring monthly or annual basis through Paddle, our Merchant of Record. Prices, carrier limits, and billing intervals are shown at checkout and in Settings → Billing. By purchasing a subscription, you authorize recurring charges according to the selected plan until canceled. Trial and refund terms are in our Refund Policy.

4. Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or harmful purposes
• Interfere with or disrupt the Service or other users
• Attempt unauthorized access to systems or data
• Upload content that infringes others' rights or contains malware
• Resell or sublicense the Service without our written consent

5. Your data

You retain ownership of business data you enter (carriers, loads, invoices, etc.). You grant us a limited license to host and process that data solely to operate the Service. See our Privacy Policy.

6. Intellectual property

Dispatch Mate software, branding, and documentation remain the property of DispatchMate LLC or its licensors. These Terms do not transfer ownership to you.

7. Disclaimer

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Operational and compliance decisions remain solely your responsibility.

8. Limitation of liability

To the fullest extent permitted by law, DispatchMate LLC and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Aggregate liability will not exceed amounts you paid in the twelve (12) months before the claim.

9. Termination

You may cancel anytime per our Refund Policy. We may suspend access for material breach or misuse. Provisions that should survive termination will survive.

10. Changes

We may update these Terms. Material changes are reflected by updating the "Last updated" date. Continued use after changes constitutes acceptance.
